These Terms of Service contain the rules you must follow when using the ulakchat.com website and the UlakChat SaaS platform. Please read these terms carefully before using our services.

2. Scope and Changes

These Terms of Service set forth the provisions regarding the use of the website and SaaS platform operated by ulakchat.com (hereinafter referred to as "UlakChat").

UlakChat reserves the right to modify these terms as necessary. In the event of significant changes, users will be notified via email or in-platform notification. Updates take effect immediately upon publication. If you do not accept the updated terms, you reserve the right to discontinue your use of the service.

3. Service Description

UlakChat is a SaaS (Software as a Service) platform that enables businesses to manage their social media accounts from a single panel. Users can connect their social media accounts to design chatbot flows, manage messaging processes, and conduct customer communication from a central hub.

4. Account Creation and Security

4.1. Users must create an account to use UlakChat services. It is the user's responsibility to ensure that the information provided during registration is accurate and up to date.

4.2. The user is responsible for keeping their login credentials (email, password) confidential. The user is responsible for all activities conducted through their account.

4.3. If unauthorized use of the account is suspected, the user must immediately notify [email protected] or the in-platform support channel.

4.4. UlakChat reserves the right to temporarily suspend the account if a security breach is detected.

5. Use of the Service

5.1. Users must use UlakChat services only in compliance with applicable laws and these Terms of Service.

5.2. The platform does not guarantee uninterrupted or error-free service. UlakChat exercises maximum effort to maintain the highest level of service quality; however, it cannot be held responsible for third-party service interruptions (Facebook, Instagram, Google, etc.).

5.3. UlakChat reserves the right to temporarily suspend the service for maintenance, updates, or technical requirements. Scheduled maintenance will be announced in advance whenever possible.

6. User Obligations

Users agree to comply with the following rules:

Not to make posts that are illegal, threatening, defamatory, or constitute a criminal offense.
Not to infringe the intellectual property rights of third parties.
Not to distribute malicious software, spam, or content that could harm the platform.
Not to attempt to damage the platform's technical infrastructure (DDoS attacks, brute force, SQL injection, etc.).
Not to attempt unauthorized access to other users' accounts.
Not to use the platform with automated tools (bots, scrapers, etc.) without permission.
Not to misuse the services or negatively impact other users' experience.

7. Subscriptions and Payments

7.1. UlakChat offers different subscription plans including Free, Starter, and Pro. Current plan details, scope, and pricing are published on the ulakchat.com/#pricing page.

7.2. Payment transactions are processed securely via credit or debit card through the iyzico payment infrastructure. Users' card information is not stored by UlakChat.

7.3. All paid subscription plans include a 7 (seven) day free trial period. The free trial period is granted only once per user. No charges are made during the trial period. If the user does not cancel their subscription before the trial period ends, the subscription fee is automatically charged on a monthly or annual basis depending on the user's chosen plan and is automatically renewed at the end of each billing period.

7.4. Users may cancel their subscription at any time. Upon cancellation, service access continues until the end of the current billing period.

7.5. UlakChat reserves the right to change the scope and pricing of subscription plans upon prior notice. Changes take effect at the end of the current billing period.

8. Account Suspension and Termination

8.1. UlakChat reserves the right to suspend or permanently terminate the user's account with prior notice in the following cases:

Violation of the user obligations set forth in Section 6,
Misuse of the platform or infringement of third-party rights,
Failure to fulfill payment obligations,
Detection of unauthorized use of the account,
A request or order from a legal authority.

8.2. In cases posing an immediate security threat, UlakChat may suspend the account immediately without prior notice and will inform the user as soon as possible.

8.3. Users may request to close their account at any time. Following account closure, personal data will be deleted in accordance with the periods specified in the Privacy Policy.

8.4. In the event of account suspension or termination, whether a refund of the subscription fee will be issued shall be evaluated based on the reason for termination.

9. Intellectual Property Rights

9.1. The design, software, logo, graphics, content, and all intellectual property rights of the UlakChat platform belong to UlakChat. Users may not copy, distribute, modify, or use these materials for commercial purposes without the written permission of UlakChat.

9.2. Chatbot flows, message content, and configurations created by users through the platform belong to the user. UlakChat does not claim any ownership rights over this content.

9.3. The user guarantees that the content shared through the platform does not infringe the intellectual property rights of third parties.

10. Limitation of Liability

10.1. UlakChat states that services are provided "as is" and "as available." It does not guarantee that the service will be uninterrupted, error-free, or free of security vulnerabilities.

10.2. UlakChat cannot be held liable for direct or indirect damages arising from the following:

Interruption, modification, or discontinuation of third-party APIs (Facebook, Instagram, Google, etc.),
Unauthorized access resulting from the user's failure to secure their account credentials,
Internet connection issues or user device/software incompatibilities,
Service interruptions caused by force majeure events,
The content of messages sent by the user through the platform.

10.3. UlakChat's total liability to any user is limited to the subscription fees paid by the relevant user in the preceding 12 months.

11. Force Majeure

Events beyond the control of the parties that are unforeseeable and prevent the parties from fulfilling their obligations (natural disasters, war, terrorism, epidemics, changes in legislation, technical infrastructure failures, cyber attacks, internet service provider outages, power outages, etc.) shall be considered force majeure events.

UlakChat's obligation to provide services is suspended during force majeure events, and UlakChat cannot be held liable for disruptions during this period.

12. Age Policy

UlakChat services are subject to the age policies of the integrated social media platforms (Facebook, Instagram, etc.). Users are required to meet the minimum age requirements set by the respective social media platforms.

13. Privacy and Personal Data

Users who accept these Terms of Service are also deemed to have accepted UlakChat's Privacy Policy. For detailed information on how personal data is collected, processed, and protected, please review the Privacy Policy.

14. Dispute Resolution

These terms are governed by the laws of the Republic of Turkey. In the event of a dispute, the courts and enforcement offices of the Republic of Turkey shall have jurisdiction.

For users accessing from the European Union, rights under GDPR also apply.

15. General Provisions

15.1. If any provision of these Terms of Service is found to be invalid or unenforceable, this shall not affect the validity of the remaining provisions.

15.2. UlakChat's failure to exercise or delay in exercising any right under these terms shall not constitute a waiver of such right.

15.3. By continuing to use the UlakChat platform, users acknowledge, declare, and undertake that they will use it in a lawful and ethical manner, for legitimate commercial or personal purposes, and will not engage in any action that would infringe the rights of third parties.

17. Effective Date
