Distance Sales Agreement

This Distance Sales Agreement governs the rights and obligations of the parties regarding the digital subscription services and AI credit packages purchased electronically through the ulakchat.com platform, in accordance with Turkish Consumer Protection Law No. 6502 and the Regulation on Distance Contracts.

1. Parties

Buyer information consists of the details entered into the system at the time of purchase.

2. Definitions

The following terms shall have the meanings set forth below:

• Ministry: The Republic of Turkey Ministry of Trade,
• Law: Consumer Protection Law No. 6502,
• Regulation: The Regulation on Distance Contracts (Official Gazette: 27.11.2014/29188),
• Platform / Site: The ulakchat.com website and all services provided thereon (hereinafter referred to as "UlakChat"),
• Service: The SaaS subscription services and AI credit packages offered through the Platform in exchange for a fee,
• AI Credit Package: A right to use AI features, of a set amount and valid for a set period, purchased with a one-time payment by a Buyer on a paid subscription plan in addition to the monthly AI quota of that plan,
• Seller: Berk Karasu (Sole Proprietorship), operating the ulakchat.com platform,
• Buyer: Any natural or legal person who purchases services through the Platform,
• Ordering Party: Any natural or legal person who requests to purchase a subscription through the Platform,
• Parties: The Seller and the Buyer,
• Agreement: This Distance Sales Agreement entered into between the Seller and the Buyer.

3. Subject of the Agreement

This Distance Sales Agreement governs the rights and obligations of the parties regarding the digital subscription services and AI credit packages purchased by the Buyer electronically through the UlakChat platform, in accordance with Consumer Protection Law No. 6502 and the Regulation on Distance Contracts.

4. Service Information

UlakChat is a SaaS platform that enables businesses to manage their social media accounts from a single panel. Services include messaging management, chatbot creation, social media management, and customer communication tools.

Current subscription plans, their scope, and pricing are published on the ulakchat.com/#pricing page. Listed prices are final sale prices and remain valid until updated. Service fees are charged in Turkish Lira (TRY). All prices include VAT.

AI Credit Packages

AI credit packages are sold only to Buyers on a paid subscription plan. The number of credits in the package, its validity period, and its sale price are shown on the purchase screen. Credits are used for AI-powered operations on the platform (such as message classification and automatic reply generation) in addition to the plan quota.

Purchased credits are valid for 12 (twelve) months from the date of purchase. Expired credits cannot be used. When the Buyer's subscription ends or the Buyer moves to the Free plan, remaining credits are frozen; freezing does not pause the validity period. Other rules on credit usage are set out in the Terms of Service.

5. Payment Information

Payments are processed securely via credit or debit card through the iyzico payment infrastructure. The Buyer's card information is not stored by the Seller; all payment transactions are conducted through iyzico's PCI-DSS compliant secure infrastructure.

Subscription fees are charged on a monthly or annual basis depending on the Buyer's chosen plan. All paid subscription plans include a 7 (seven) day free trial period. No charges are made during the trial period. If the Buyer does not cancel their subscription before the trial period ends, the subscription fee is automatically charged and the subscription is automatically renewed at the end of each billing period. The Buyer may cancel their subscription at any time. In that case, service access continues until the end of the current billing period and the fee paid is not refunded (see Article 9).

The price of an AI credit package is charged in full at the time of purchase. Packages do not renew automatically.

Non-Payment of Service Fees

If the Buyer fails to pay the service fee or cancels the payment through their bank records, the Seller's obligation to provide the service shall cease and the relevant subscription shall be suspended.

6. Delivery

All services purchased through UlakChat are entirely digital in nature. Upon successful completion of payment, the relevant subscription plan is automatically assigned to the Buyer's account and the service becomes immediately available for use.

For AI credit packages, credits are added to the Buyer's account as soon as the payment is approved and can be used right away.

In the event of a technical issue, service activation shall be completed within a maximum of 24 hours.

7. Buyer Confirmation and Pre-Contractual Information

7.1. The Buyer acknowledges that they have read and are informed of the essential characteristics of the service, the sale price, the payment method, and the preliminary information regarding delivery on the Seller's platform.

7.2. The Buyer's electronic confirmation constitutes acknowledgment that they have accurately and completely obtained the service information, the price including taxes, and the payment details that the Seller is required to provide.

7.3. By approving this agreement electronically, the Buyer declares that they have read, understood, and accepted the terms and conditions.

7.4. When purchasing an AI credit package, the number of credits, validity period, and total amount are shown to the Buyer once more before the payment screen, and the Buyer is asked to approve this agreement. Payment is not started without approval. The date and time of approval are recorded.

8. Free Trial Period and Right of Withdrawal

All paid subscription plans include a 7 (seven) day free trial period. No charges are made to the Buyer during the trial period.

The Buyer may cancel their subscription through the platform at any time during the trial period without incurring any charges.

If the Buyer does not cancel their subscription before the trial period ends, the fee for the selected plan is automatically charged.

Performance of the subscription service begins with the Buyer's approval as soon as payment is received. For this reason, no refund is issued under the right of withdrawal once payment has been processed. Cancellation conditions for monthly and annual subscriptions are set forth in Article 9.

Important: The free trial period is available only once per Buyer. A Buyer who has previously used the free trial period cannot benefit from it again for subsequent subscriptions.

9. Subscription Cancellation and Refund

The Buyer may cancel their monthly or annual subscription from the panel at any time.

9.1. No Refund on Cancellation

No refund of the subscription fee is issued for cancellations made after payment has been processed. This applies to both monthly and annual subscriptions. For annual subscriptions, no partial refund is issued for unused months.

A cancelled subscription does not renew and the Buyer's card is not charged again. The plan remains usable until the end of the period already paid for. When that period ends, the Buyer's account moves to the Free plan.

9.2. Upgrading the Plan

When the Buyer moves to a higher plan (for example from Starter to Pro), the value of the unused part of the current period is deducted from the price of the new plan and only the difference is charged. The remaining amount is not paid back to the Buyer; it is credited toward the new plan.

9.3. Account Deletion

If the Buyer deletes their account while they have an active paid subscription, the subscription fee paid is not refunded. The subscription is cancelled, will not renew, and ends at the end of the current period. The account deletion is carried out as the Buyer requested.

For AI credit packages bought within the last 14 days with no credit spent, the Buyer can request a refund under Article 10 before deleting the account. When the account is deleted, any remaining credits are removed as well and cannot be refunded afterwards.

These conditions are shown to the Buyer before the account is deleted. The deletion cannot start until the Buyer accepts them.

10. Right of Withdrawal and Refunds for AI Credit Packages

10.1. AI credits are digital content added to the Buyer's account immediately once payment is approved. For this reason, pursuant to Article 15 of the Regulation on Distance Contracts, there is no right of withdrawal for credit packages.

10.2. Nevertheless, the Seller refunds the full price of a package when both of the following conditions are met:

• The refund request is submitted within 14 (fourteen) days of the purchase date.
• No credit from the package has been spent.

10.3. The right to a refund ends as soon as a single credit from the package is spent. No partial refunds are made; the cost of spent credits has already been paid to service providers and cannot be recovered.

10.4. No refunds are made for expired credits. Frozen credits may be refunded if they meet the conditions in 10.2.

10.5. Refund requests are submitted through the support channel. An approved refund is sent to the Buyer's original payment method within 14 (fourteen) business days of approval at the latest. The remaining credits of the refunded package are removed from the account.

11. Exceptions to the Right of Withdrawal and Refund

Pursuant to Article 15 of the Regulation on Distance Contracts, refund requests shall not be accepted in the following cases:

• A monthly or annual subscription is cancelled after the trial period has ended and payment has been processed (see Article 9.1).
• An account with an active paid subscription is deleted (see Article 9.3).
• If the Buyer has previously used the free trial period, no additional trial period is granted.
• The performance of the service has commenced with the Buyer's express consent and has been fully performed.
• Services instantly performed electronically and intangible goods instantly delivered to the consumer.
• The Buyer's account has been suspended or terminated due to violation of terms of service.
• The Buyer has misused the platform (spam, unauthorized access attempts, etc.).
• For AI credit packages: credit from the package has been spent, more than 14 days have passed since purchase, or the credits have expired (see Article 10).

Note: Since UlakChat services are activated immediately upon payment with the Buyer's approval, the withdrawal exception under the Regulation may apply. A Buyer who wants to withdraw without paying can cancel the subscription within the trial period set out in Article 8.

12. Default and Legal Consequences

If the Buyer defaults on credit card payments, they acknowledge that they shall pay interest in accordance with the credit card agreement between themselves and the card-issuing bank, and shall be liable to the bank.

In such cases, the relevant bank may pursue legal remedies and may claim resulting costs and attorney fees from the Buyer.

The Buyer acknowledges to compensate the Seller for any damages incurred due to the delayed performance of the obligation.

13. Force Majeure

Events beyond the control of the parties that are unforeseeable and prevent the parties from fulfilling their obligations (natural disasters, war, terrorism, epidemics, changes in legislation, technical infrastructure failures, cyber attacks, internet service provider outages, power outages, etc.) shall be considered force majeure events.

The Seller is obligated to notify the Buyer as soon as possible. The Seller shall not be held liable during force majeure periods.

If the force majeure event persists for more than 15 (fifteen) days, the Buyer shall have the right to terminate the agreement and unused subscription fees shall be refunded.

14. General Provisions

14.1. The Buyer agrees to comply with all applicable legislation while using the UlakChat platform.

14.2. The Seller does not guarantee uninterrupted or error-free service but exercises maximum effort to maintain quality.

14.3. The Seller reserves the right to change subscription plan scope (including plan limits) and pricing upon prior notice. Changes take effect at the end of the current billing period. The number of credits and validity period of AI credit packages already purchased are not affected by changes made after purchase.

14.4. The Seller may suspend or terminate the Buyer's account in cases of platform misuse.

14.5. The platform may contain links to third-party websites not under the Seller's control. No guarantee is given regarding linked content.

15. Protection of Personal Data

The Buyer's personal data is processed in accordance with Turkish Personal Data Protection Law No. 6698 (KVKK). Details are available in the UlakChat Privacy Policy.

16. Dispute Resolution

Consumer Arbitration Boards and Consumer Courts shall have jurisdiction. Monetary thresholds are determined annually by the Republic of Turkey Ministry of Trade.

17. Effective Date

This agreement enters into force on the date it is approved electronically by the Buyer. The Buyer confirms that they have read and accepted the terms before completing the purchase.
